These Terms of Service (the “Terms”, “Terms of Service”, or “Agreement”) are made and entered into by and between you (“User”, “you”, or “your”) and ThisIsDisco Ventures, LLC, a Massachusetts limited liability company (referred to in these Terms as “Ricasso”, “we”, “us”, or “our”), for the use of the Ricasso mobile application for iOS and Android, the website located at www.ricasso.app, the related Ricasso services, features, data, content, tools, and functionality that we make available, and, where expressly stated, related Ricasso-operated properties (collectively, the “Platform” or “Service”).

BEFORE YOU PROCEED, PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THIS AGREEMENT CONTAINS WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, INDEMNITY OBLIGATIONS, ARBITRATION PROVISIONS, CLASS ACTION WAIVER PROVISIONS, AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS. BY ACCESSING, BROWSING, DOWNLOADING, INSTALLING, CREATING AN ACCOUNT, SUBSCRIBING TO, PURCHASING, OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, THE PRIVACY POLICY, THE COOKIE AND TRACKING NOTICE, AND ANY ADDITIONAL TERMS THAT APPLY TO A SPECIFIC FEATURE, SUBSCRIPTION, PROMOTION, APP STORE PURCHASE, MERCHANDISE STOREFRONT, OR THIRD-PARTY SERVICE.

If you do not agree to these Terms, you are not authorized to access or use the Platform. If you are using the Platform on behalf of an entity, organization, business, dealer, maker, retailer, employer, client, or other person, you represent and warrant that you have authority to bind that person or entity to these Terms. If you do not have that authority, you may not use the Platform on that person’s or entity’s behalf. If you use the Platform on behalf of another person or entity, then you and that person or entity are each responsible for compliance with these Terms, and references to “you” include both you individually and the person or entity on whose behalf you use the Platform.

ARBITRATION NOTICE. EXCEPT FOR CERTAIN KINDS OF DISPUTES DESCRIBED IN THESE TERMS, DISPUTES ARISING UNDER OR RELATING TO THESE TERMS OR THE PLATFORM WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION. BY ACCEPTING THESE TERMS, YOU AND RICASSO ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, OR OTHER COLLECTIVE PROCEEDING. YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT BY A JUDGE OR JURY. PLEASE REVIEW THE DISPUTE RESOLUTION SECTION CAREFULLY.

1. Overview. Ricasso is a private knife and edged-tool collection management application designed for adult United States-based collectors, everyday carry users, makers, sellers, dealers, and other users who wish to catalog, organize, track, and manage records relating to personal or commercial knife and edged-tool collections. A User’s knife, edged-tool, inventory, vault, and related records maintained through the Service are referred to in these Terms as the User’s “Collection.” The Service allows registered Users to record catalog details, acquisition details, provenance notes, condition information, disposition information, photographs, proof-of-purchase images, event ledger entries, comparable-data references, and other Collection-related information in a private vault associated with the User’s Account.

The Service may also display third-party marketplace comparable data, including active listing information made available through the eBay Browse API and, if approved and implemented, sold-comparable data through eBay Marketplace Insights or another authorized eBay program. Marketplace comparable data is provided for informational reference only. Ricasso is not an appraiser, broker, auction house, insurance provider, financial advisor, investment advisor, tax advisor, law-enforcement reporting service, stolen-property registry, government registry, legal ownership registry, or marketplace.

No information provided through the Service constitutes financial, investment, legal, tax, appraisal, insurance, replacement-value, fair-market-value, authenticity, provenance, ownership, possession, or transferability advice. Any estimates, ranges, medians, vault totals, gain/loss displays, value labels, or comparable listings are estimates and reference tools only. You are solely responsible for evaluating your Collection, obtaining professional advice where appropriate, complying with applicable laws, and maintaining independent records.

2. Eligibility; United States Only; Age Requirement

2.1. Age Requirement.

The Platform is intended only for individuals who are at least eighteen (18) years old. By creating an Account, accessing, or using the Platform, you represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into this Agreement. Minors are not permitted to create an Account or use the Platform.

2.2. No Children.

The Platform is not directed to children or minors. Ricasso does not knowingly allow individuals under eighteen (18) years old to create Accounts or use the Platform. Ricasso also does not knowingly collect personal information from children under thirteen (13). If Ricasso learns that an individual under eighteen (18) years old has created an Account or submitted personal information, Ricasso may delete the Account and associated information as soon as reasonably practicable, subject to legal, security, fraud-prevention, and operational retention needs.

2.3. United States Availability.

At launch, the Platform is intended for Users located in the United States only. Ricasso may restrict App Store and Google Play distribution to the United States and may restrict access to all or part of the Platform from other jurisdictions. You are responsible for ensuring that your use of the Platform is lawful in the jurisdiction in which you access or use it.

2.4. Compliance With Laws.

You may use the Platform only if your use complies with these Terms and all applicable federal, state, local, and international laws, rules, and regulations. This includes laws relating to knives, edged tools, weapons, restricted items, import, export, shipment, age restrictions, taxes, sales, transfers, privacy, intellectual property, consumer protection, and electronic communications.

3. Accounts and Registration

To use the Ricasso mobile application, you must create an account (“Account”). At launch, Account creation requires an email address, a display name, and a password of at least eight (8) characters. Account authentication is handled through Firebase Auth. Ricasso does not receive or store your plaintext password.

3.1. Account Information.

You agree that all information you provide to Ricasso is accurate, complete, and current. You agree to keep your Account information accurate and to promptly update any information that becomes outdated or incorrect.

3.2. Account Security.

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must immediately notify us at hello@ricasso.app if you suspect unauthorized access, credential compromise, or other security issue relating to your Account.

3.3. Email Verification and Sensitive Operations.

Ricasso may require email verification before allowing certain sensitive operations, global submissions, commercial features, or future verified-account features. We may suspend or restrict Accounts that fail verification, appear fraudulent, present security risk, or violate these Terms.

3.4. Account Deletion.

The mobile application includes an in-app account deletion process under Settings. Ricasso may also provide a web-based account deletion request page at ricasso.app/delete-account. Account deletion is subject to the data retention provisions in these Terms and the Privacy Policy.

3.5. Terms Acceptance Logs.

Ricasso may record your acceptance of these Terms, the Privacy Policy, and related notices, including the version accepted, date and time of acceptance, Account identifier, platform, device or request metadata, and other operational records necessary to demonstrate compliance and maintain the Service.

4. Subscription Tiers, Purchases, Billing, and Merchandise

4.1. Free and Paid Features.

Ricasso may offer free features and paid features. At launch, Ricasso may offer a Free tier, a Collector tier, a Curator tier, a Dealer tier, a Founding Lifetime Collector entitlement, and separately purchasable features or add-ons such as a Bill of Sale generator unlock. Available tiers, feature caps, prices, limits, and included functionality may be displayed in the mobile application or applicable app-store purchase flow at the time of purchase.

4.2. Platform Billing.

All digital subscriptions and digital feature purchases offered within the mobile application are processed through Apple In-App Purchase or Google Play Billing, as applicable. Ricasso does not process payment card information directly and does not receive your full card number, billing address, payment account credentials, or other payment method details from Apple or Google. Ricasso may receive an obfuscated receipt, transaction identifier, entitlement status, subscription status, renewal status, or similar confirmation necessary to provide paid features.

4.3. Automatic Renewal.

Unless otherwise stated at the time of purchase, subscription services automatically renew for successive subscription periods until canceled through your Apple ID account settings or Google Play account settings. You must cancel before the renewal date to avoid charges for the next subscription period. All subscription terms, renewal disclosures, cancellation instructions, refunds, taxes, and billing details are governed by the applicable Apple or Google purchase flow and policies.

4.4. Cancellation and Refunds.

Ricasso cannot directly cancel Apple App Store or Google Play subscriptions on your behalf. You must manage and cancel subscriptions through your applicable app-store account settings. Refund requests are handled by Apple or Google under their respective policies, except where Ricasso expressly provides a separate remedy in writing.

4.5. Feature Changes and Access After Downgrade.

If a subscription expires, is canceled, is downgraded, or cannot be renewed, Ricasso may restrict paid-tier features while retaining your underlying Account and Collection data in accordance with the applicable tier rules. For example, collection records or photos above the applicable free-tier limits may become read-only, inaccessible, non-editable, or subject to other restrictions until you upgrade, renew, export, delete, or reduce your data. Ricasso may change tier names, limits, caps, prices, features, and eligibility on a going-forward basis.

4.6. Promotions, Trials, and Comped Accounts.

Ricasso may offer promotional pricing, trial periods, coupon codes, press accounts, partnership access, or complimentary access. Promotions may be subject to additional terms and may be modified, suspended, or discontinued at any time. Unless expressly stated, promotional offers apply only to the User who receives and accepts them.

4.7. Taxes.

You are responsible for any taxes, duties, or governmental charges arising from your purchases, subscriptions, merchandise purchases, or use of the Platform, except for taxes based solely on Ricasso’s income. Apple, Google, Shopify, Stripe, or other processors may calculate, collect, and remit taxes in accordance with their policies and applicable law.

4.8. Merchandise Storefront.

Ricasso may operate a companion merchandise storefront at shop.ricasso.app (the “Merchandise Store”). The Merchandise Store is a separate e-commerce surface powered by Shopify. ThisIsDisco Ventures, LLC is the merchant of record for Ricasso merchandise, and Shopify Payments may route payment processing through Stripe infrastructure. The Merchandise Store may sell apparel and accessories, but does not sell knives, blades, edged tools, sharpeners, parts, or regulated goods at launch. Purchases through the Merchandise Store are governed by the Merchandise Store terms, privacy policy, shipping policy, return policy, refund policy, and any Shopify or payment processor terms presented at checkout. The Ricasso app and the Merchandise Store maintain separate account systems and do not automatically share account data with each other at launch.

5. License to Use the Service

5.1. Limited License.

Subject to your complete and ongoing compliance with these Terms, Ricasso grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use the Platform for your own permitted collection management purposes, subject to your applicable subscription tier, feature limits, and these Terms.

5.2. Personal and Permitted Commercial Use.

Ricasso is primarily designed for adult collectors, but certain paid tiers may support commercial or dealer-grade use. You may not use commercial, dealer, multi-seat, maker, grader, registry, verified-account, or other expanded business features unless those features are made available to you and you comply with any additional terms that apply. Ricasso may require separate commercial terms for makers, dealers, graders, verified accounts, public registry users, marketplace users, transfer users, or other advanced features.

5.3. Restrictions.

Except to the extent a restriction is prohibited by applicable law, you may not: (a) copy, modify, distribute, sell, lease, sublicense, publicly display, publicly perform, reverse engineer, decompile, disassemble, or create derivative works of the Platform; (b) bypass or interfere with security, access-control, rate-limit, entitlement, subscription, or usage-limit mechanisms; (c) scrape, crawl, index, data mine, bulk download, or extract data from the Platform; (d) use the Platform to build a competing product or service; (e) use automated scripts or bots except as expressly authorized by Ricasso; or (f) use the Platform in any manner not expressly permitted by these Terms.

5.4. App Store and Google Play Rules.

Your download and use of the mobile application through the Apple App Store or Google Play Store is also governed by applicable Apple and Google terms, rules, and policies. In the event of a conflict between these Terms and mandatory app-store terms applicable to your purchase or download, the mandatory app-store terms control solely to the extent of the conflict.

6. Ownership; Intellectual Property; Third-Party Marks

6.1. Ricasso Materials.

The Platform, including its software, source code, object code, APIs, databases, user interface, visual interfaces, graphics, design, compilation, organization, workflow, brand elements, text, product copy, domain names, logos, trademarks, service marks, trade dress, icons, audio, images, templates, forms, generated layouts, data structures, and other materials made available by Ricasso (collectively, “Materials”), are owned by Ricasso or its licensors and are protected by intellectual property, unfair competition, and other laws.

6.2. No Transfer of Rights.

Except for the limited license expressly granted in these Terms, Ricasso reserves all rights in and to the Platform and Materials. Nothing in these Terms transfers ownership of any Ricasso intellectual property to you.

6.3. Trademarks.

The Ricasso name, logos, service marks, trade dress, and related brand elements are trademarks or service marks of ThisIsDisco Ventures, LLC. You may not use Ricasso trademarks without our prior written consent. All goodwill arising from use of Ricasso trademarks inures exclusively to Ricasso.

6.4. Third-Party Names and Marks.

The Platform may reference third-party brand names, maker names, product names, model names, marketplace names, dealer names, eBay listing titles, UPC-sourced product information, and other third-party marks or identifiers. All third-party trademarks, service marks, trade names, logos, product names, and other identifiers are the property of their respective owners. Any references are for identification, descriptive, compatibility, or informational purposes only and do not imply sponsorship, endorsement, affiliation, certification, approval, or partnership.

6.5. Open-Source and Third-Party Components.

The Platform may include open-source software, third-party libraries, fonts, SDKs, or components that are subject to separate licenses. Nothing in these Terms restricts your rights under any applicable open-source license.

6.6. Feedback.

If you provide ideas, suggestions, comments, bug reports, improvement requests, or other feedback regarding the Platform (“Feedback”), you grant Ricasso a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable right to use, reproduce, modify, create derivative works from, distribute, display, perform, commercialize, and otherwise exploit the Feedback for any purpose without compensation or attribution to you.

7. Third-Party Services, APIs, and Vendors. The Platform depends on third-party infrastructure, app stores, APIs, vendors, and service providers. Ricasso does not control third-party services and is not responsible for their acts, omissions, availability, security, accuracy, policies, or terms except to the extent required by applicable law. You should review applicable third-party terms and privacy policies.

7.1. Firebase and Google Cloud.

Ricasso uses Firebase and Google Cloud services for authentication, Firestore database storage, Firebase Storage, Cloud Functions, Firebase Hosting, Google Secret Manager, operational logging, and related infrastructure. Account data, Collection data, photos, proof-of-purchase images, logs, and operational data may be stored or processed using Firebase and Google Cloud services.

7.2. eBay Marketplace Data. Ricasso may use eBay APIs to obtain marketplace comparable data. At launch, Ricasso may use the eBay Browse API for active listing data labelled or otherwise identified as listed or active marketplace data. If approved and implemented, Ricasso may use eBay Marketplace Insights or similar authorized eBay data to obtain sold-comparable information. When you request comparable data, Ricasso sends product descriptors such as brand, model, and condition through Ricasso server-side systems. Ricasso does not send your email address, Account credentials, UID, serial number, photos, storage location, purchase price, or other direct User identity to eBay in connection with a comparable-data request.

7.3. eBay Data Limitations. Comparable data returned by eBay may include listing title, price, currency, condition, image URL, item URL, listing ID, category, and, if available and authorized, sold date or sold comparable information. Ricasso may cache eBay data for operational performance, rate-limit management, and consistency. The app may display a refresh or updated timestamp. eBay listing information may be stale, incomplete, inaccurate, unavailable, withdrawn, relisted, changed, or no longer representative of current market conditions. Ricasso is not affiliated with, sponsored by, certified by, endorsed by, or approved by eBay.

7.4. UPC Providers.

Ricasso may use UPCitemdb or other UPC lookup providers to retrieve product information based on UPC codes you scan or enter. Ricasso transmits the UPC code only through server-side systems and does not send your email address, Account credentials, UID, serial number, photos, storage location, purchase price, or other direct User identity to UPC providers. UPC results may be incomplete, inaccurate, outdated, or irrelevant. You are responsible for verifying all pre-filled product information.

7.5. Google Fonts.

The Ricasso website may load fonts from Google Fonts, which may result in Google receiving request information such as your IP address and browser request metadata. Ricasso does not use Google Fonts for targeted advertising or behavioral tracking.

7.6. Apple and Google.

The mobile application is distributed through Apple and Google platforms. Apple and Google may process app distribution, download, subscription, entitlement, refund, and store-account information under their own terms and privacy policies. Ricasso receives only the information necessary to validate entitlements and provide paid features.

7.7. Shopify, Stripe, and Printful.

The Merchandise Store may use Shopify for e-commerce operations, Shopify Payments and Stripe payment infrastructure, and Printful or another fulfillment provider for print-on-demand fulfillment. Merchandise orders are separate from the Ricasso app account system at launch.

7.8. Changes to Vendors.

Ricasso may add, remove, or replace vendors, APIs, processors, or infrastructure providers as the Platform evolves. Material changes to data practices will be addressed as described in the Privacy Policy.

7.9. Anthropic and AI-Assisted Bulk Import.

Ricasso may use Anthropic or another artificial intelligence service provider to support AI-assisted bulk-import functionality. If you use the bulk-import feature, Ricasso may send user-uploaded CSV, spreadsheet, or structured import content containing knife metadata to Anthropic or another AI service provider for one-time field extraction, mapping, cleanup, normalization, or formatting so that records can be imported into your Collection. Ricasso does not send photos, proof-of-purchase images, serial numbers, purchase prices, sale prices, storage location notes, or other sensitive vault fields to Anthropic for the bulk-import feature at launch. AI-assisted extraction may be incomplete, inaccurate, or inconsistent, and you are solely responsible for reviewing, correcting, and approving imported data before relying on it.

8. Collection Data, User Content, and Vault Records

8.1. User Content Defined.

The Service allows you to create, upload, store, edit, manage, and export information and materials relating to your Collection (“User Content”). User Content includes catalog fields, notes, photos, proof-of-purchase images, acquisition information, disposition information, buyer or seller handles, serial numbers, storage notes, valuations, comparable-data selections, event ledger entries, maker submissions, and any other information or materials you submit to, upload to, or store through the Platform.

8.2. Your Ownership of User Content.

As between you and Ricasso, you retain ownership of your User Content. Ricasso does not claim ownership of your User Content merely because you submit, upload, store, or process it through the Platform.

8.3. License to Operate the Service.

You grant Ricasso a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, back up, transmit, reproduce, format, display, process, modify for technical formatting, export, delete, and otherwise use your User Content solely as necessary or appropriate to operate, maintain, secure, support, improve, enforce, and provide the Platform; comply with law; respond to your requests; process support, privacy, deletion, or legal requests; and provide user-directed features such as exports, share links, registry pages, transfer flows, or future opt-in public features if and when you enable them.

8.4. Sensitive Collection Data.

Certain User Content may be sensitive, including serial numbers, purchase prices, sale prices, acquisition sources, seller handles, buyer handles, proof-of-purchase images, storage location notes, disposition records, and lost/stolen status. At launch, such information is stored using Firebase and Google Cloud encryption in transit and at rest with Google-managed keys, but field-level or client-side encryption is not live. Ricasso personnel with appropriate administrative access may be technically able to access User Content in plaintext at launch. Client-side or field-level encryption is planned for a future release and should not be treated as currently available until Ricasso confirms it in writing.

8.5. Storage Location Warnings.

The Platform may allow free-text storage location notes. You should not enter precise home addresses, safe combinations, alarm details, storage-unit access details, or other security-sensitive information unless you understand and accept the risk. Ricasso is not responsible for losses arising from your decision to enter highly sensitive storage information.

8.6. Photos and Proof-of-Purchase Images.

You may upload photographs of Collection items and, where available, proof-of-purchase images. Ricasso may compress or resize images before upload and may strip EXIF metadata client-side before upload. You are responsible for ensuring that you have all rights and permissions necessary to upload photographs, receipts, COAs, appraisals, screenshots, marketplace images, or other materials. You should not upload images of people, minors, government IDs, payment cards, sensitive documents, private addresses, or third-party personal information unless you have all necessary rights, permissions, and lawful basis to do so.

8.7. Event Ledger and Provenance.

The Platform may maintain an append-only event ledger for certain Collection events, such as purchase, addition to vault, sale, gift, loss, theft, or other disposition. At launch, the ledger is a private recordkeeping tool and does not verify ownership, authenticity, chain of custody, provenance, lawful possession, or transferability. Cryptographic event chaining, public registry features, maker-signed certificates, dealer verification, grading entries, transfer-of-ownership flows, and similar trust-infrastructure features are not live at launch unless Ricasso expressly states otherwise in the Platform.

8.8. Data Export and Backups.

The Service may provide CSV export of certain Collection data. Photos, proof-of-purchase images, cached comparable data, UPC cache entries, logs, and other data may not be included in a CSV export. You are responsible for exporting and maintaining independent backup copies of your important records. Ricasso is not responsible for loss of data resulting from your failure to maintain independent backups, subscription lapse, account deletion, device loss, software errors, provider outages, or other events outside Ricasso’s reasonable control.

8.9. Accuracy of User Content.

You are solely responsible for the accuracy, completeness, legality, and appropriateness of your User Content. Ricasso does not verify your entries, ownership claims, provenance claims, authenticity claims, serial numbers, condition descriptions, storage locations, prices, buyer/seller information, or disposition labels.

9. Representations and Warranties for User Content

By submitting, uploading, creating, storing, editing, exporting, sharing, or otherwise using User Content through the Platform, you represent, warrant, and covenant that:

10. Monitoring, Support Access, and Enforcement

10.1. No Routine Review.

Ricasso does not undertake to routinely review, verify, monitor, screen, or police User Content. However, Ricasso may access, review, preserve, disclose, remove, restrict, or take action with respect to User Content where Ricasso believes it is necessary or appropriate to operate, secure, support, debug, maintain, improve, or enforce the Platform; respond to your request; investigate suspected misuse; comply with law or legal process; protect Ricasso, Users, third parties, or the public; or enforce these Terms.

10.2. Support Access.

At launch, Ricasso personnel with Firebase or administrative access may be technically able to access User Content, including vault records and photos. Ricasso intends to obtain user consent before accessing a User’s vault for ordinary support purposes, but a per-piece, time-limited support access interface is not live at launch. Administrative access may be logged through Google Cloud Audit Logs or similar systems.

10.3. Removal and Suspension.

Ricasso may remove or restrict access to User Content, suspend or terminate Accounts, revoke entitlements, disable features, or take other action if Ricasso determines, in its sole discretion, that a User has violated these Terms, created risk, engaged in misuse, submitted unlawful or infringing content, or otherwise harmed or threatened Ricasso, the Platform, other Users, third parties, or the public.

11. Prohibited Uses; Knife-Specific Restrictions. You agree not to use the Platform, and not to assist, encourage, or permit any person to use the Platform, to:

12. No Marketplace; No Appraisal; No Legal Registry; No Verification

12.1. No Marketplace.

At launch, Ricasso is not a marketplace. Ricasso does not list items for sale, solicit offers, accept bids, facilitate buyer/seller communications, process knife purchases, arrange shipping, provide escrow, guarantee payment, or transfer title. Any sale, gift, transfer, or disposition recorded by a User is a private record entered by that User and not a transaction facilitated by Ricasso.

12.2. No Appraisal or Valuation Advice.

Ricasso does not provide professional appraisals, certified valuations, fair market values, replacement values, insurance values, tax values, estate values, investment advice, or financial advice. Any estimated values, medians, ranges, vault totals, or gain/loss displays are generated from available marketplace or user-entered information and are provided solely for informational reference. Comparable data may be incomplete, stale, inaccurate, non-comparable, biased by listing behavior, influenced by asking prices rather than completed sales, or otherwise unsuitable for reliance.

12.3. No Ownership or Authenticity Verification.

Ricasso does not verify that any User owns any item, lawfully possesses any item, has authority to transfer any item, or has accurately described any item. Ricasso does not verify authenticity, provenance, serial numbers, maker marks, COAs, receipts, appraisals, grading, seller identities, buyer identities, or condition.

12.4. No Stolen-Property or Law-Enforcement Registry.

The Platform may allow a User to mark an item as lost or stolen for that User’s private recordkeeping. Ricasso does not verify lost/stolen status, notify law enforcement, maintain a government registry, provide theft reports, recover property, or act as a stolen-property database at launch.

12.5. No Insurance, Legal, Tax, or Compliance Advice.

No content, feature, export, Bill of Sale, pricing display, record, or communication from Ricasso is legal, tax, insurance, investment, accounting, appraisal, safety, regulatory, or compliance advice. You should consult qualified professionals before relying on any information for legal, tax, insurance, estate, lending, sale, purchase, investment, or compliance purposes.

13. Bill of Sale Generator and Forms

13.1. Generated Forms.

The Platform may include a Bill of Sale generator or other document-generation tools. Any forms generated through the Platform are based on user-entered information and template logic. Ricasso does not verify the accuracy, completeness, enforceability, legality, sufficiency, or appropriateness of any generated form.

13.2. No Legal Advice.

Generated forms are not legal advice and do not create an attorney-client relationship between you and Ricasso, any law firm, or any attorney. Laws governing knife sales, transfers, warranties, disclaimers, taxes, consumer protection, age restrictions, shipping, import/export, and possession vary by jurisdiction. You are solely responsible for determining whether a form is suitable and lawful for your transaction.

13.3. No Transaction Responsibility.

Ricasso is not a party to any transaction documented using a generated form and has no responsibility for payment, delivery, quality, title, legality, taxes, shipment, disputes, chargebacks, enforcement, warranties, or claims between transaction parties.

14. Future Features and Separate Terms. Ricasso may in the future offer public registry pages, opt-in share links, maker verification, dealer verification, grading entries, certificates of authenticity, cryptographic event chaining, transfer-of-ownership flows, marketplace integrations, stolen-knife lookup tools, appraiser or insurer interfaces, multi-seat business accounts, APIs, or other advanced features. These features are not live at launch unless expressly stated in the Platform. Ricasso may require separate terms, eligibility rules, verification procedures, fees, privacy notices, or agreements before allowing access to any such feature.

15. Data Storage, Sync, Security, and Availability

15.1. Storage Model.

At launch, Ricasso does not describe the Platform as fully local-first. Free-tier data may remain local-only with no cloud sync, while paid tiers may use Firebase Firestore and Firebase Storage as the source of truth with offline-read caching and queued writes. Some features, including cloud sync, eBay comps, UPC lookups, account creation, password reset, and maker database submissions, may require internet access.

15.2. Security.

Ricasso uses commercially reasonable technical and organizational measures intended to protect the Platform. At launch, data is transmitted using HTTPS/TLS and stored in Firebase/Google Cloud infrastructure using encryption at rest with Google-managed keys. Field-level or client-side encryption of sensitive fields is not live at launch. No method of transmission, storage, encryption, access control, or security is perfect, and Ricasso does not guarantee that the Platform or User Content will be uninterrupted, error-free, secure, or immune from unauthorized access.

15.3. Local Device Security.

Local device data may rely on operating-system device encryption, local caches, AsyncStorage, React Native Firebase persistence, or similar device-level mechanisms. You are responsible for securing your device, using strong passwords, enabling device security, maintaining control of your Account credentials, and safeguarding exported files.

15.4. Outages and Maintenance.

The Platform may be unavailable, interrupted, delayed, inaccurate, or degraded due to maintenance, updates, third-party provider issues, network failures, rate limits, app-store issues, cloud outages, API disruptions, bugs, security events, or other causes. Ricasso may modify, suspend, limit, or discontinue all or part of the Platform at any time.

16. Privacy. Your use of the Platform is subject to the Ricasso Privacy Policy, Cookie and Tracking Notice, and any applicable Privacy Rights Summary Notice, Do Not Sell or Share notice, or other privacy disclosures. By using the Platform, you acknowledge that Ricasso may collect, use, disclose, retain, process, and protect information as described in those documents.

17. DMCA, Copyright, Trademark, and IP Complaints

17.1. DMCA Notices.

Ricasso responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. If you believe material available on or through the Platform infringes your copyright, you may send a notice to our designated copyright agent: DiSchino & Schamy, PLLC, 4770 Biscayne Blvd., Suite 600, Miami, Florida 33137, Email: dmca@ricasso.app, with a copy to admin@dsmiami.com if requested by Ricasso. Ricasso may update this contact information from time to time.

A DMCA notice should include: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your name, address, telephone number, and email address; (e) a statement that you have a good-faith belief the complained-of use is not authorized by the copyright owner, its agent, or the law; and (f) a statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act for the owner.

17.2. Counter-Notices.

If your material is removed due to a DMCA notice and you believe removal was mistaken or misidentified, you may submit a counter-notice meeting DMCA requirements. Ricasso may restore material in accordance with the DMCA and applicable law.

17.3. Repeat Infringers.

Ricasso may terminate the Accounts of Users who are repeat infringers or who repeatedly submit infringing or unlawful content.

17.4. Trademark and Brand Complaints.

Brand owners, makers, dealers, and other rights holders may submit trademark, trade dress, right-of-publicity, or brand-related complaints to dmca@ricasso.app or legal@ricasso.app. Ricasso may request supporting documentation and may take action in its sole discretion.

IMPORTANT: MISREPRESENTATIONS IN INFRINGEMENT NOTICES OR COUNTER-NOTICES MAY EXPOSE THE SENDER TO LIABILITY. IF YOU ARE UNCERTAIN WHETHER MATERIAL INFRINGES, CONSULT AN ATTORNEY BEFORE SENDING A NOTICE.

18. Suspension and Termination

18.1. Term.

These Terms begin when you first access, download, install, register for, purchase, subscribe to, or use the Platform and continue until terminated as provided herein.

18.2. Termination by You.

You may stop using the Platform at any time and may delete your Account through the in-app deletion flow or any other deletion method made available by Ricasso. Subscription cancellation must be handled through Apple or Google account settings, as applicable.

18.3. Termination or Suspension by Ricasso.

Ricasso may suspend, restrict, or terminate your Account, access, entitlements, content, or use of the Platform at any time, with or without notice, if Ricasso determines that you violated these Terms, created risk, failed to pay, engaged in misuse, violated law, infringed rights, harmed the Platform, or otherwise acted inconsistently with Ricasso’s interests or the purpose of the Platform.

18.4. Effect of Termination.

Upon termination, your license to use the Platform ends. You must stop using the Platform and may lose access to features, entitlements, data, exports, or content, subject to the Privacy Policy and any app-store rights. Certain provisions, including payment obligations, ownership, intellectual property, user content licenses, disclaimers, limitations of liability, indemnity, dispute resolution, and other provisions that by their nature should survive, will survive termination.

19. Modifications to the Platform and Terms

19.1. Platform Changes.

Ricasso may add, remove, modify, suspend, restrict, discontinue, rename, reprice, or replace features, tiers, limits, vendors, APIs, data sources, storage models, security features, and services at any time. Ricasso does not guarantee that any feature, vendor, subscription tier, entitlement, roadmap item, data source, app-store listing, or price will remain available indefinitely.

19.2. Terms Changes.

Ricasso may update these Terms from time to time. Changes will apply on a going-forward basis unless otherwise stated. If changes are material, Ricasso will make reasonable efforts to provide notice through the Platform, email, or other reasonable means. Your continued use after the effective date of updated Terms constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform and cancel any subscription through Apple or Google, as applicable.

20. Disclaimers

THE PLATFORM, SERVICE, MATERIALS, CONTENT, COMPARABLE DATA, ESTIMATES, GENERATED FORMS, EXPORTS, REPORTS, MARKETPLACE LINKS, UPC DATA, AI-ASSISTED BULK-IMPORT OUTPUTS, FIELD EXTRACTIONS, IMPORT MAPPINGS, AND ALL RELATED FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, RICASSO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, RELIABILITY, SECURITY, AND COURSE OF DEALING.

Without limiting the foregoing, Ricasso does not warrant that: (a) the Platform will meet your needs; (b) the Platform will be uninterrupted, secure, error-free, or available at any particular time or location; (c) defects will be corrected; (d) comparable data, UPC data, estimated values, vault totals, gain/loss displays, generated forms, exports, bulk-import results, AI-assisted field extractions, field mappings, or imported records will be accurate, complete, current, reliable, lawful, or suitable for any purpose; (e) User Content will be preserved, backed up, recoverable, or free from loss; or (f) the Platform will comply with laws applicable to your items, transactions, jurisdiction, or intended use.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RICASSO, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUBPROCESSORS, PAYMENT PROCESSORS, APP-STORE PARTNERS, API PROVIDERS, DATA PROVIDERS, AND SUPPLIERS, AND EACH OF THEIR RESPECTIVE SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “RICASSO PARTIES”), WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR SIMILAR DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, LOSS OF ITEMS, THEFT, INABILITY TO RECOVER ITEMS, INACCURATE VALUATIONS, FAILED TRANSACTIONS, INSURANCE DISPUTES, TAX CONSEQUENCES, LEGAL CLAIMS, LOST BUSINESS OPPORTUNITIES, LOSS OF USE, DEVICE DAMAGE, DATA CORRUPTION, UNAUTHORIZED ACCESS, THIRD-PARTY SERVICE FAILURE, API FAILURE, PAYMENT PLATFORM FAILURE, OR RELIANCE ON THE PLATFORM, EVEN IF A RICASSO PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE RICASSO PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, ANY SUBSCRIPTION, ANY GENERATED FORM, ANY MARKETPLACE COMPARABLE DATA, ANY USER CONTENT, ANY COLLECTION RECORD, ANY EXPORT, ANY MERCHANDISE STOREFRONT INTERACTION, OR ANY RELATED SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO RICASSO FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, WARRANTY, MISREPRESENTATION, CONSUMER PROTECTION, PRIVACY, PRODUCT LIABILITY, OR OTHERWISE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY APPLICABLE LAW.

22. Indemnification

You agree to defend, indemnify, and hold harmless the Ricasso Parties from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, settlements, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to: (a) your use, misuse, or attempted use of the Platform; (b) your User Content; (c) your Collection, items, inventory, transactions, sales, gifts, transfers, imports, exports, shipments, storage, possession, disposition, or business operations; (d) your violation of these Terms, any additional terms, any app-store terms, or applicable law; (e) your infringement, misappropriation, or violation of any intellectual property, privacy, publicity, contractual, confidentiality, property, consumer-protection, or other right of another person; (f) your false, misleading, unlawful, incomplete, or inaccurate entries, records, provenance claims, ownership claims, authenticity claims, value claims, generated forms, or disclosures; (g) any Bill of Sale, export, report, document, or transaction record generated, completed, edited, shared, or used by you through or in connection with the Platform; (h) any dispute between you and any buyer, seller, maker, dealer, appraiser, insurer, recipient, shipper, marketplace, payment provider, governmental authority, or other third party; (i) your violation of any law relating to knives, edged tools, weapons, restricted goods, import, export, shipment, age restrictions, taxes, sales, advertising, product safety, consumer protection, privacy, or electronic communications; or (j) use of the Platform by any employee, contractor, assistant, agent, representative, invitee, or other person who accesses the Platform through your Account or on your behalf.

Ricasso reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Ricasso’s defense of any claim. You may not settle any claim in a manner that imposes any obligation, admission, restriction, or liability on any Ricasso Party without Ricasso’s prior written consent. Your indemnification obligations survive termination of these Terms and your use of the Platform.

23. Dispute Resolution; Arbitration; Class Action Waiver

23.1. Informal Resolution.

Before initiating arbitration or any court proceeding, you agree to first send a written notice describing your dispute to ThisIsDisco Ventures, LLC, 33 Geraldine Drive, Norwood, Massachusetts 02062, Email: legal@ricasso.app. The parties will attempt in good faith to resolve the dispute informally for thirty (30) days after the notice is received.

23.2. Binding Arbitration.

Except for disputes that qualify for small claims court and claims for injunctive or equitable relief relating to intellectual property, unauthorized access, misuse, security, confidentiality, or enforcement of Platform restrictions, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration. The arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, unless the parties agree to another recognized arbitration provider. If the American Arbitration Association is unavailable or unwilling to administer the arbitration, the parties will confer in good faith to select another recognized arbitration provider, and if they cannot agree, a court of competent jurisdiction may appoint the provider.

23.3. Massachusetts Seat and Law.

The arbitration will take place in Norfolk County, Massachusetts, or remotely if the arbitrator permits. These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement.

23.4. Class Action Waiver.

You and Ricasso agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any class or representative proceeding.

23.5. Small Claims and Injunctive Relief.

Either party may bring an individual claim in small claims court if it qualifies. Ricasso may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, security, the Platform, Users, or the public.

23.6. Venue.

For any dispute not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in or serving Suffolk County, Massachusetts, unless applicable law requires otherwise.

23.7 Batch or Mass Arbitration. If twenty-five (25) or more substantially similar arbitration demands are filed against Ricasso or related Ricasso Parties by or with the assistance of the same law firm, group of law firms, coordination entity, or organization, the demands may be treated as a batch or mass arbitration to the fullest extent permitted by the applicable arbitration provider’s rules. Ricasso may request coordinated, bellwether, staged, or batch procedures designed to promote fair and efficient resolution. Nothing in this Section authorizes class arbitration, representative arbitration, or consolidation of claims in a manner prohibited by the class action waiver above.

24. Notices

Ricasso may provide notices to you through the Platform, email, app-store mechanisms, website postings, or other reasonable means. Notices to Ricasso must be sent to ThisIsDisco Ventures, LLC, 33 Geraldine Drive, Norwood, Massachusetts 02062, with email copies to legal@ricasso.app and hello@ricasso.app, unless another notice address is specified in these Terms or another applicable policy.

25. Miscellaneous

25.1. Entire Agreement.

These Terms, together with the Privacy Policy, Cookie and Tracking Notice, any applicable privacy notices, app-store purchase terms, and any feature-specific or commercial terms accepted by you, constitute the entire agreement between you and Ricasso regarding the Platform.

25.2. Severability.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

25.3. No Waiver.

Ricasso’s failure to enforce any provision is not a waiver of its right to do so later.

25.4. Assignment.

You may not assign or transfer these Terms without Ricasso’s prior written consent. Ricasso may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, operation of law, or transfer of the Platform or business.

25.5. Force Majeure.

Ricasso is not liable for delay or failure to perform due to events beyond its reasonable control, including cloud outages, app-store issues, third-party API failures, labor disputes, internet failures, cyber events, acts of God, war, terrorism, civil unrest, government action, natural disasters, power failures, or other force majeure events.

25.6. Headings.

Headings are for convenience only and do not affect interpretation.

26. Beta, TestFlight, Soft Launch, and Pre-Release Features. Ricasso may operate a TestFlight beta, soft launch, limited release, pilot, experimental feature, preview feature, or other pre-release program. Beta and pre-release features may be incomplete, unstable, unavailable, inaccurate, subject to additional restrictions, or discontinued at any time. You understand that beta features may contain errors, may not work as intended, may change before general release, and may not be supported. Ricasso may collect feedback, diagnostic information, crash information if enabled in a future version, feature usage necessary for debugging, and support communications relating to beta features, subject to the Privacy Policy.

26.1. No Reliance on Roadmap.

Product roadmaps, launch plans, public registry concepts, maker verification concepts, dealer verification concepts, Marketplace Insights approval, sold-comparable data, AI identification, field-level encryption, client-side encryption, user-toggleable cloud sync, insurance-ready exports, PDF exports, multi-seat controls, transfer-of-ownership workflows, marketplace integrations, and other future features are not commitments. Ricasso may delay, change, reduce, or abandon any roadmap item in its sole discretion.

26.2. Launch Dependencies.

Certain features may depend on third-party approval, app-store approval, eBay API access, Marketplace Insights API access, Firebase or Google Cloud availability, Apple Developer Program verification, Google Play review, Shopify availability, payment processor approval, or other third-party services. Ricasso is not responsible for third-party delays, denials, restrictions, outages, rate limits, API changes, or policy changes.

27. Dealer, Maker, and Commercial User Terms. Some Users may use Ricasso for dealer-grade, maker, smith, retail, archive, or commercial collection-management purposes if those features are available under their subscription tier. Users who use Ricasso for business, dealer, retail, maker, resale, inventory, employee-assisted, or other commercial purposes are referred to in these Terms as “Commercial Users.” Users who subscribe to or use a Dealer tier are referred to in these Terms as “Dealer Users.” Commercial Users and Dealer Users remain solely responsible for compliance with business, tax, consumer protection, sales, shipping, import/export, age-verification, licensing, resale, recordkeeping, advertising, product-safety, and weapons-related laws. Ricasso does not provide commercial compliance advice.

27.1. Multi-Seat or Assistant Access.

If a Dealer tier, commercial tier, or other business feature permits multi-seat, assistant, employee, contractor, or delegated access, the Account owner is responsible for all activity by employees, assistants, contractors, agents, representatives, invitees, or other users invited to access the Account. The Account owner must ensure that all such persons comply with these Terms and applicable law. Ricasso may require separate multi-seat, business, or commercial terms before enabling these features.

27.2. Sales Tax and Business Records.

Any sales-tax CSV, dealer report, export, disposition report, or similar business record generated through Ricasso is a convenience tool only. Ricasso does not determine taxable sales, tax nexus, tax rates, exemptions, reporting obligations, resale certificate requirements, or tax filing obligations. You are responsible for consulting a qualified tax professional.

28. Specific Comparable Data and Valuation Rules. Ricasso may derive descriptive statistics from available marketplace data, including median, range, trimmed range, outlier-adjusted range, vault total, estimated gain/loss, or similar displays. These outputs are not appraisals and are not guaranteed to comply with any insurance, tax, lending, estate, accounting, investment, or legal standard. They may be based on active listings, asking prices, limited listing volume, user-entered data, stale data, inaccurate product matching, missing shipping information, condition mismatches, or non-comparable items.

28.1. Active Listings vs.

Sold Comps. Unless the Platform expressly states otherwise, comparable values may be based on active listings and asking prices rather than completed transactions. If sold-comparable data becomes available through an approved API or data source, Ricasso may label it separately and may change the formula, refresh cycle, or display method at any time. You should not assume that active listings equal market value or that sold comps represent a certified valuation.

28.2. Cache and Freshness.

Comparable data may be cached for operational reasons, including rate limits, performance, cost control, API availability, and consistency. Cached data may not reflect current marketplace conditions. The Platform may display an updated or refreshed timestamp, but timestamps do not guarantee current availability, final sale price, transaction validity, item authenticity, shipping terms, seller credibility, or comparability.

28.3. No eBay Endorsement.

References to eBay or eBay data are for informational purposes only. Ricasso is not affiliated with, sponsored by, endorsed by, certified by, or approved by eBay. eBay trademarks and data remain the property of eBay or their respective owners.

29. Account Deletion, Exports, and Irreversible Actions. Certain actions, including Account deletion, item deletion, photo deletion, proof-of-purchase deletion, export, downgrade, subscription cancellation, or cache clearing, may be irreversible or may cause loss of access to data. Ricasso may present confirmation screens, but you are responsible for understanding the consequences of any action you take. Deleted data may remain temporarily in backups, logs, records, app-store systems, support emails, legal records, or other systems as permitted by law and described in the Privacy Policy.

29.1. Read-Only Downgrade State.

If your subscription lapses or downgrades, records above the applicable tier limits may become read-only or otherwise restricted. Ricasso is not required to delete excess data solely because your tier changed. Ricasso may allow export, deletion, or upgrade options, subject to technical limitations and platform rules.

29.2. Export Responsibility.

Ricasso may provide CSV export for certain data, but CSV export may omit photos, proof-of-purchase images, cached eBay comparable data, UPC cache records, system logs, app-store subscription records, or other categories. You are responsible for exporting and separately preserving any records you need for insurance, taxes, estate planning, business, resale, legal, or personal purposes.

30. Mobile Application Permissions. The Platform may request permissions from your device, including camera permission to photograph knives and scan UPC codes, photo library access to import photos, photo library write access to save photos, Android storage permissions for photo input/output, and vibration for haptic feedback. Ricasso does not request location, contacts, calendar, microphone, health, biometric, Bluetooth, NFC, clipboard, SMS, push notification, or background location permissions at launch. If future versions request new permissions, the app or operating system may provide additional notices.

31. Sanctions, Export Control, and Restricted Parties. You may not use the Platform if you are located in, ordinarily resident in, or subject to sanctions administered by the United States or other applicable authorities, or if you are on any restricted-party list. You may not use the Platform to export, re-export, ship, transfer, sell, or facilitate transactions involving restricted goods, technology, software, technical data, or services in violation of export-control or sanctions laws.

32. Electronic Communications and E-Sign Consent

By creating an Account, using the Platform, joining a waitlist, purchasing or subscribing, or providing an email address, you consent to receive electronic communications from Ricasso, including legal notices, policy updates, service messages, security alerts, subscription notices, account messages, password reset messages, support messages, privacy responses, deletion responses, accessibility responses, launch-related messages, and other communications relating to the Platform. Electronic communications satisfy any legal requirement that communications be in writing. You are responsible for keeping your email address current.

Ricasso may send marketing or promotional emails where permitted by law. Marketing emails will include an unsubscribe mechanism where required by applicable law. Opting out of marketing emails will not prevent Ricasso from sending transactional, account, security, subscription, legal, privacy, deletion, support, or other non-marketing communications.

Ricasso does not send SMS/text-message marketing or automated telemarketing calls at launch and does not collect phone numbers at Account creation. If Ricasso introduces SMS, MMS, telephone, autodialed, prerecorded, artificial-voice, or similar messaging in the future, Ricasso will obtain any consent required by applicable law before sending such communications. Consent to receive marketing texts or calls will not be a condition of purchasing or using the Platform unless expressly permitted by law. Any future text-message program should include required disclosures, including message frequency, message and data rate notices, HELP instructions, and STOP or other opt-out instructions.

Ricasso does not use push notifications at launch. If push notifications are introduced later, they may require device-level permission and may be controlled through your operating-system settings or in-app settings where available.

33. Apple-Specific Terms. If you access or download the app through the Apple App Store, you acknowledge that these Terms are between you and Ricasso, not Apple. Apple is not responsible for the Platform, maintenance, support, claims, product liability, intellectual property claims, legal compliance, or disputes relating to the Platform, except as required by applicable app-store terms. Apple and its subsidiaries are third-party beneficiaries of the provisions of these Terms that relate to Apple, and Apple may enforce those provisions against you as a third-party beneficiary.

34. Google-Specific Terms. If you access or download the app through Google Play, you acknowledge that your use is also subject to applicable Google Play terms and policies. Google is not responsible for the Platform, maintenance, support, claims, product liability, intellectual property claims, legal compliance, or disputes relating to the Platform, except as required by applicable Google Play terms.

35. Consumer Protection Savings Clause. Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection laws. If any disclaimer, limitation, arbitration term, or waiver is prohibited by applicable law as applied to you, it applies only to the maximum extent permitted by law, and the remaining terms remain enforceable.

36. Interpretation. The words “include,” “includes,” and “including” are deemed to be followed by “without limitation.” The word “or” is not exclusive. References to the Platform include any feature, service, content, data, API, app, website, storefront, export, generated form, subscription, or related functionality made available by Ricasso. Examples are illustrative and not limiting.

37. Feature-Specific Launch Terms. The following additional terms apply to specific launch features and are intended to supplement, not limit, the other provisions of these Terms.

37.1. Free Tier Limits.

The Free tier may include a limited lifetime number of knife or edged-tool records, a limited number of photos per item, limited scan or import functionality, and other restrictions. Ricasso may enforce limits through the app interface, backend rules, entitlement checks, or other technical controls. Ricasso may change Free tier limits prospectively, provided that it will make reasonable efforts not to intentionally delete existing User data solely because of a tier adjustment without notice or a reasonable transition path.

37.2. Collector Tier.

The Collector tier may include increased collection limits, additional photos, bulk import, expanded recordkeeping, export tools, and other collector-oriented features. The exact features are those displayed in the app-store purchase flow or in-app paywall at the time of purchase. If there is a conflict between these Terms and mandatory Apple or Google purchase disclosures regarding price, billing cycle, cancellation, or renewal, the mandatory app-store disclosure controls as to that purchase.

37.3. Curator Tier.

The Curator tier may depend on availability of enhanced comparable-data sources, including eBay Marketplace Insights or other approved marketplace data. If a third-party approval, data source, API, or integration is delayed, denied, limited, discontinued, rate-limited, or changed, Ricasso may modify Curator features, substitute other features, adjust pricing, delay launch, or provide an alternative value stack. Ricasso does not guarantee that sold-comparable data will be available at any particular time.

37.4. Dealer Tier.

The Dealer tier is intended for heavy users and dealer-grade collection or inventory management, but Ricasso remains a recordkeeping and productivity tool unless and until it separately launches marketplace, sales, transfer, payment, or shipping functionality. Dealer Users are solely responsible for all business, sales, tax, consumer-protection, product-compliance, recordkeeping, and legal obligations relating to their own business operations.

37.5. Founding Lifetime Collector.

A Founding Lifetime Collector entitlement, if offered, is a limited promotional entitlement to the Collector-level features described at the time of purchase. It is not a guarantee that all current or future Ricasso features, tiers, APIs, cloud costs, third-party data sources, premium services, marketplace features, commercial tiers, or future products will be included forever. Ricasso may discontinue or replace the Platform if the business is sold, shut down, restructured, or technically impossible to maintain, subject to applicable law and app-store rules.

37.6. Bulk Import.

Bulk import features may allow Users to upload or import records from spreadsheets, CSV files, or other structured sources. Bulk import may use automated processing, artificial intelligence, or third-party service providers, including Anthropic or another AI service provider, to parse, extract, map, clean, normalize, or format user-uploaded spreadsheet or CSV content for import into the Platform. Bulk import is intended for knife and edged-tool metadata and related catalog information. You should not include photos, proof-of-purchase images, serial numbers, purchase prices, sale prices, storage location notes, sensitive personal information, or unnecessary third-party personal information in bulk-import files unless Ricasso expressly supports and instructs you to include that information. You are solely responsible for ensuring that imported information is accurate, lawful, permitted to be imported, and appropriate for storage in your Collection. Ricasso is not responsible for import errors, duplicate records, inaccurate extraction, incorrect field mapping, corrupted data, malformed files, encoding errors, missing photos, hallucinated or inferred values, omitted values, or loss of information during import. You must review all imported records before relying on them. You should maintain independent backups before using bulk import.

37.7. Maker Database.

The Platform may include maker database search or submissions. Maker database information may be generated by Ricasso, third-party sources, user submissions, or public information. Ricasso does not verify all maker database information and does not guarantee accuracy, completeness, currency, maker identity, business status, location, authenticity, reputation, or association with any item.

37.8. Mark Sold, Gifted, Lost, or Stolen.

Disposition features allow you to label your own records. Ricasso does not verify dispositions, notify third parties, transfer ownership, issue legal notices, file police reports, or adjudicate disputes. A “stolen” or “lost” label is a private notation unless and until Ricasso launches a separate opt-in public feature under separate terms.

38. Data Processing Limits and No Data Product. Ricasso’s business model at launch is based on subscription and product features, not the sale of user vault data. Ricasso does not sell, share, rent, license, or aggregate User collection data for advertising, analytics, market research, AI training, or third-party data products at launch. The use of Anthropic or another AI service provider to perform one-time bulk-import field extraction, mapping, cleanup, normalization, or formatting at the User’s request is a feature-directed processing activity used to provide the Service and is not a sale, sharing, licensing, or commercialization of User collection data. Nothing in these Terms permits you to scrape or commercialize Ricasso data, and nothing in this section prevents Ricasso from processing data as necessary to provide, secure, debug, support, enforce, or legally operate the Service.

39. No Emergency, Safety, or Compliance Service. Ricasso is not an emergency service, safety alert system, weapons compliance tool, law-enforcement service, import/export compliance service, tax compliance service, insurance compliance service, or business compliance platform. Ricasso does not monitor whether your items are legal, safe, properly stored, properly insured, properly taxed, or properly transferred. You must not rely on Ricasso for emergency, safety, legal, compliance, or regulatory decisions.

40. User Responsibility for Physical Items. Ricasso provides digital recordkeeping tools only. Ricasso is not responsible for the physical condition, loss, theft, damage, storage, transport, legality, authenticity, safety, maintenance, use, misuse, sale, transfer, seizure, confiscation, disposal, or insurance of any knife, edged tool, merchandise item, or other property. You are solely responsible for securing, maintaining, storing, handling, using, transporting, and transferring your items safely and lawfully.

41. Survival of Payment, IP, User Content, and Risk Terms. The provisions concerning payment obligations, app-store purchases, ownership, intellectual property, feedback, third-party services, User Content licenses, User Content warranties, prohibited uses, knife-specific restrictions, no marketplace/no appraisal/no registry disclaimers, Bill of Sale and generated-form disclaimers, data export and backup responsibilities, security disclaimers, account deletion and retention, electronic communications, sanctions and export-control restrictions, limitation of liability, indemnity, dispute resolution, governing law, notices, interpretation, and miscellaneous provisions survive termination or expiration to the extent necessary to give them effect.
